1. your consent

Thank you for choosing the FutureBens application, which includes the FutureBens platform.

This agreement (Agreement) is between FutureBens GmbH (FutureBens, 'us' or 'our') and the person or entity agreeing to these terms (you). If you agree to this Agreement not as an individual but on behalf of your company, then 'you' means your company and you bind your company to this Agreement.

By using or accessing the Service or by clicking the "I Agree" button displayed to you at the time you submit your order, you agree to these Terms of Use (Terms).
If you do not agree to these Terms, do not click the "I Agree" button and discontinue use and uninstall the Service immediately.

2. scope of application

These Terms govern your use of the Application and any technology you use from us that references these Terms. These Terms include the Privacy Policy, the Acceptable Use Policy, the Website Terms, all orders and any other references to FutureBens policies and attachments posted from time to time on futurebens.co incorporating those policies into these Terms. If any provision of any applicable FutureBens policy conflicts with these Terms, these Terms will prevail, and only to the extent that these Terms apply to the Service.

3. free services

We may offer certain services to you free of charge, including free accounts, trial use and access to pre-release and beta products (Free Services). Your use of the Free Services will be subject to such additional terms and conditions as we may specify and will only be permitted for such period as we may specify. We may terminate your right to use the Free Services at any time and for any reason in our sole discretion without liability to you. To the maximum extent permitted by applicable law, we disclaim all obligations or liabilities with respect to Free Services, including all support and maintenance, warranty and indemnity obligations.


4. Subscription service


Subject to these Terms, FutureBens will make the Service available for use by your approved users (End Users) on a compatible computer, mobile phone or tablet device (Device) owned or controlled by you or our End Users. All End Users must create a named account on the FutureBens Platform (End User Account). You may request an End User Account by: (i) notifying us in writing; or (ii) ordering an End User Account through the Platform.
The terms of this Agreement will also apply to any updates and upgrades subsequently provided to you by FutureBens for the Service. FutureBens hosts the Service and may update the functionality, user interface, usability and other user documentation, training and educational information of and relating to the Service from time to time in its sole discretion and in accordance with this Agreement as part of its ongoing mission to improve the Service and Customer's use of the Service.
Except as expressly permitted by law or otherwise in these Terms, you may not (nor may you authorise any third party to): (i) rent, lease, distribute, license, sublicense, sell, transfer, assign, sell or otherwise grant third party access to the Service; (iii) reproduce, modify, adapt, create derivative works of the Service; (iv) reverse engineer, disassemble, decompile, transmit, exchange or translate the Service or otherwise attempt to obtain or derive the source code or API; (iv) remove or tamper with any disclaimers or other legal notices; (v) combine all or any part of the Service with any other software, data or material; (vi) store or use any data that does not belong to you in an archive database or other searchable database. You must notify us immediately in writing of any breach of these Terms of Use.


5. Intellectual property rights

You agree that all intellectual property of any kind in or relating to the Service, including all code, libraries, programs, software, documentation, content, databases, systems, logos and trademarks is owned either directly by us or by our licensors. You are not authorised to use our intellectual property except as expressly permitted in these Terms.
Subject to these Terms, you may modify a template, training course or problem workflow in the Service to develop customisations and additional features of a template, training course or problem workflow. All such modifications are deemed to be 'Your Modifications'. You may use Your Modifications solely with respect to Your own Instances in support of Your permitted use of the Service, but You may not distribute Your Modifications to any third party. Notwithstanding anything to the contrary in these Terms, FutureBens has no support, warranty, indemnity or other obligation or liability with respect to Your Modifications or their combination, interaction or use with our Services. You shall indemnify, defend and hold us harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys' fees and costs) arising out of or in connection with any claim against us by any third party relating to your Modifications (including, without limitation, any representations or warranties you make with respect to your Modifications or the Service) or your breach of this Section. This indemnification obligation is subject to you receiving (i) prompt written notice of any such claim (but in any event in sufficient time for you to respond without prejudice); (ii) the exclusive right to control and direct the investigation, defence or settlement of any such claim; and (iii) any reasonably necessary cooperation from FutureBens at your expense.
We will defend you against any claim brought against you by a third party alleging that the Services, when used as authorized under this Agreement, infringe the intellectual property rights of a third party (a 'Claim'), and we will indemnify and hold you harmless from any damages and costs finally awarded by a court of competent jurisdiction or settlement agreed to by us arising out of a Claim, provided that we have received from you: (a) prompt written notice of the claim (but in any event, notice in sufficient time for us to act on it without prejudice); (b) reasonable assistance in the defence and investigation of the claim, including providing you with a copy of the claim and any relevant evidence in your possession, custody or control; and (c) the exclusive right to control and direct the investigation, defence and settlement (if any) of the claim. If your use of a Service is (or in our opinion is likely to be) materially reduced, if required by settlement, or if we determine that such action is reasonably necessary to avoid material liability, we may, at our option and in our sole discretion: (i) procure a license for your continued use of the Services pursuant to this Agreement; (ii) substitute a substantially functionally similar Service; or (iii) terminate your right to continue using the Service and refund any prepaid amounts for the terminated portion of the Service. Our indemnity obligations above will not apply: (1) if the Service is modified by a party other than us, but only to the extent that the alleged breach is caused by such modification; (2) if the Service is used in combination with any non-FutureBens product, software or equipment, but only to the extent that the alleged breach is caused by such combination; (3) to unauthorised use of the Services; (4) to claims arising out of (i) your modifications or (ii) any third party services or components included with the Services; or (5) if you settle or make any admission with respect to any claim without our prior written consent.


6. Data protection


This section applies only if and to the extent that the EU General Data Protection Regulation 2016/679 ("GDPR") applies to the data with which you use the Service and/or the Free Services. Where this Section applies, the provisions of Schedule 1 (Data Protection Compliance) and Schedule 2 (Data Processing Agreement) shall apply.


7. Duration and extension


The Services are provided on a subscription basis for a fixed term as specified in your order. Unless otherwise specified in your order, all subscriptions will automatically renew for periods equal to your original term (and you will be charged at the then current rates) unless you cancel your subscription in writing or through your account on the Website. If you cancel your subscription, it will end at the end of the then-current billing cycle, but you will not be entitled to any credits or refunds for amounts accrued or paid prior to cancellation.
If FutureBens does not want the Services to be renewed, FutureBens will notify you in writing. This notice of non-renewal will be effective at the end of the then current term.


8. Invoicing and payment

Sie stimmen zu, alle Gebühren gemäß Ihrer Online-Bestellung oder Ihrem Angebots-/Bestellformular zu bezahlen. Sofern in Ihrer Online-Bestellung oder Ihrem Angebots-/Bestellformular nicht anders angegeben, zahlen Sie alle Beträge in der angebotenen Währung (wird von Zeit zu Zeit aktualisiert) zum Zeitpunkt der Abgabe Ihrer Online-Bestellung oder Ihres Angebots-/Bestellformulars. Alle Beträge sind nicht erstattungsfähig, nicht stornierbar und nicht kreditierbar.
Mit der Zahlung erkennen Sie an, dass Sie sich nicht auf die zukünftige Verfügbarkeit des Dienstes über die aktuelle vereinbarte Laufzeit hinaus oder auf Dienst-Upgrades oder Funktionserweiterungen verlassen. Sie erklären sich damit einverstanden, dass wir Ihre Kreditkarte für Verlängerungen und unbezahlte Gebühren, soweit zutreffend, belasten können.
Sie müssen bei der Registrierung und Bestellung des Services eine der folgenden Abrechnungsoptionen wählen:
Monatlicher Plan: Wenn Sie diese Option wählen, zahlen Sie für die Services auf monatlicher Basis. Wir stellen Ihnen eine Rechnung: (i) Gebühren basieren auf der Anzahl der von Ihnen eingeladenen Endbenutzer. Wir stellen Ihnen die monatliche Rate für die Services zur Verfügung, wenn Sie den Service bestellen, und verwenden diese Rate zur Berechnung für Ihre monatlichen Gebühren.
Jahresplan: Wenn Sie diese Option wählen, bezahlen Sie die Leistungen auf jährlicher Basis. Wir stellen Ihnen eine Rechnung: (i) Gebühren, die auf der Anzahl der von Ihnen eingeladenen Endbenutzer basieren. Wir geben Ihnen den Jahrespreis für den Service bekannt, wenn Sie die Dienstleistung bestellen, und verwenden diesen Tarif zur Berechnung Ihrer Jahresgebühren.
Gebühren für Bestellungen, bei denen Sie mit Kreditkarte, Debitkarte oder einer anderen nicht auf Rechnung basierenden Zahlungsmethode bezahlen, sind in dem Monat fällig, in dem Sie die Dienstleistungen erhalten. Für Kredit- oder Debitkarten, je nach Fall: (i) Wir stellen Ihnen alle anfallenden Gebühren bei Fälligkeit in Rechnung und (ii) diese Gebühren gelten nach dem Ende des Monats, in dem Sie die Dienstleistungen erhalten haben, als überfällig.
Wir können andere Formen der Zahlung ermöglichen, indem wir sie auf der Website zur Verfügung stellen. Diese anderen Zahlungsformen können zusätzlichen Bedingungen unterliegen, die Sie möglicherweise vor der Verwendung der zusätzlichen Zahlungsformen akzeptieren müssen.
Überfällige Zahlungen können ab dem Fälligkeitsdatum bis zur vollständigen Bezahlung mit eineinhalb Prozent pro Monat (oder dem höchsten gesetzlich zulässigen Zinssatz, falls dieser niedriger ist) verzinst werden. Sie sind für alle angemessenen Kosten (einschließlich Rechts- oder Inkassokosten) verantwortlich, die uns bei der Einziehung solcher überfälligen Beträge entstehen, es sei denn, diese überfälligen Beträge sind auf unsere Rechnungsungenauigkeiten zurückzuführen.
Sie haben dreißig Tage Zeit, um überfällige Gebühren zu bezahlen. Wenn Sie die überfälligen Gebühren nicht innerhalb von dreißig Tagen bezahlen, werden wir Ihre Nutzung des Dienstes automatisch aussetzen. Die Dauer dieser Aussetzung ist so lange, bis Sie alle ausstehenden Gebühren bezahlt haben.
Wenn Sie einen monatlichen Abrechnungsplan oder eine jährliche Abrechnungsplanverpflichtung haben, werden wir Ihnen während der Aussetzung weiterhin Gebühren für die Nichtzahlung berechnen und Sie müssen alle ausstehenden Gebühren bezahlen, um die Nutzung der Dienste wieder aufnehmen zu können.
Wenn Sie wegen Nichtzahlung für mehr als sechzig Tage ausgesetzt bleiben, können wir diesen Vertrag kündigen.
Sie sind für alle Zölle, Zollgebühren oder Steuern (außer unserer Einkommenssteuer) im Zusammenhang mit dem Verkauf der Services, einschließlich aller damit verbundenen Strafen oder Zinsen (Steuern), verantwortlich und Sie werden uns für die Services ohne Steuerermäßigung bezahlen. Wenn wir verpflichtet sind, Steuern einzuziehen oder zu zahlen, werden Ihnen die Steuern in Rechnung gestellt, es sei denn, Sie stellen uns eine gültige, von der zuständigen Steuerbehörde genehmigte Steuerbefreiungsbescheinigung zur Verfügung. Wenn Sie gesetzlich verpflichtet sind, Steuern von Zahlungen an uns einzubehalten, müssen Sie uns eine offizielle Steuerquittung oder andere geeignete Unterlagen zum Nachweis dieser Zahlungen vorlegen.
Sie bestätigen, dass die Vertragsbedingungen mit Ihrem jeweiligen Telekommunikationsnetzbetreiber (Netzbetreiber) bei der Nutzung des Service weiterhin gelten. Infolgedessen kann Ihnen der Netzbetreiber für die Dauer der Verbindung während des Zugriffs auf den Dienst für den Zugang zu den Netzwerkverbindungsdiensten Gebühren oder solche Gebühren Dritter in Rechnung stellen, die möglicherweise anfallen. Sie übernehmen die Verantwortung für alle derartigen Gebühren, die entstehen.


9. Security

By using the Service, you acknowledge that it is your sole responsibility to maintain the confidentiality and security of all information transmitted from or stored on a Device for the purposes of the Service for all transactions and other activities on behalf of the end user, whether authorised or not. You understand that use of the Service involves the transmission of your data over networks that are not owned, operated or controlled by us and we are not responsible for the loss, alteration, interception or storage of your data over such networks. We cannot guarantee that our security procedures will be error-free, that the transmission of your data will always be secure or that unauthorised third parties will never be able to bypass our security measures or those of our third party service providers.


10. Content sharing

When you use the Service, any data, templates, information, content, code, video, images or other materials of any kind (Materials) that you submit will remain confidential to you unless you choose to share Materials with FutureBens and/or other users.


11. Privacy Policy

Any information you provide to us when using the Service will be collected and used by us in accordance with our Privacy Policy (on the Website). We will provide you and others who download materials with our Privacy Policy. Where we present the Privacy Policy in accordance with the EU General Data Protection Regulation 2016/679 ('GDPR'), we will do so in accordance with Annex 1 (Data Protection Compliance).

12 Termination and suspension

This Agreement shall continue for the Term unless terminated earlier than permitted by these Terms. Either party may terminate this Agreement prior to the end of the Term if the other party materially breaches any of these Terms and does not cure the breach within thirty (30) days after written notice of the breach, or if the other party goes out of business, files for bankruptcy or becomes insolvent, or is otherwise unable to meet its financial obligations.
We may terminate this Agreement before the end of the Term if you breach these Terms more than twice during the Term, notwithstanding the 'cure' of such breaches, or if you remain suspended for non-payment of Fees for more than sixty days at any time.
You may terminate this Agreement at any time with notice to FutureBens, but you will not be entitled to any credits or refunds as a result of a convenient termination for prepaid but unused Services or Subscription Fees.
Unless an exclusive remedy is set forth in these Terms, the exercise of any remedy by either party, including termination, shall be without prejudice to any other remedy available to it under these Terms, by law or otherwise.

Annex 1 (Compliance with data protection)

In this Annex and in Annex 2 (Data Processing Agreement):


Data Protection Laws means the EU Data Protection Laws and the laws of other countries and territories which establish and regulate substantially similar concepts and legal principles to the EU Data Protection Laws in relation to the processing of personal data and sensitive personal data.
EU Data Protection Laws means, up to and including 24 May 2018, any legislation in force from time to time implementing EU Directive 95/46/EC and its relevant national implementations and, with effect from 25 May 2018, the GDPR and its relevant national implementations;
personal data, sensitive personal data, consent, controller, processor, data subject and processing: the terms, roles and activities defined in the applicable EU Data Protection Laws and, from 25 May 2018, sensitive personal data. May 2018 sensitive personal data are the categories of personal data described in Article 9 of the European General Data Protection Regulation 2016/679 or, where applicable, equivalent terms, roles and activities as described in other data protection laws.
We are the controller of personal data and sensitive personal data, such as account registration data, that we collect directly from users of the Services (end users) and users of the Free Services and that we use for our business purposes.
You are the 'Controller' and we are the Processor in relation to all other Personal Data and Sensitive Personal Data (including as part of your changes) uploaded by End Users and/or users of the Free Services, including data, templates, information, content, code, video, images or other material of any kind (Materials), or provided by your administrators (see section 10 above).
On and after 25. May 2018, to the extent that the Services and/or Free Services involve the processing of personal data or sensitive personal data where we are the Processor and you are the Controller and the processing of personal data or sensitive personal data is subject to the GDPR:
you will comply with the requirements of the GDPR as you are the Controller of the personal data or sensitive personal data; and
the provisions of Schedule 2 (Data Processing Agreement) to these Terms will apply
We will make our Privacy Policy available to you and others who may download Materials where we are a Taxpayer. Where we do not have direct contact with end-users or the data subjects, for example where personal data or sensitive personal data about your employees or customers is uploaded, and where we are a processor and not the data controller, it is your responsibility to ensure that this is done in accordance with Article 13 of the GDPR:
there is a legal basis for the collection and processing of personal data and/or sensitive personal data; and
you will provide our privacy policy to those end-users and other data subjects as required.

Annex 2 (Data Processing Agreement)


The provisions of this Annex (Data Processing Agreement) form an integral part of the Agreement insofar as Section 6 of the Agreement applies.
FutureBens will:
-process personal data only upon documented instructions from the Controller, including with respect to the transfer of personal data to a third country or an international organization, unless required to do so by the European Union or the national law of an EU Member State to which the Processor is subject, in which case the Processor shall inform the Controller of such legal requirement prior to the processing, unless the law prohibits such information for important reasons of public interest;
-ensure that the persons authorized to process personal data have undertaken to maintain confidentiality or are subject to an equivalent legal obligation of confidentiality;
-implement appropriate organizational and technical measures in accordance with Article 32 (Security of Processing) of the EU General Data Protection Regulation 2016/679. The measures we consider appropriate are described in more detail in FutureBens' "Architecture and Security" document (a copy of which is available upon request). This document provides an overview of:
our architecture and infrastructure through which services and toll-free services are delivered
the security controls used by us and our service providers to protect personal and/or sensitive personal data; and security controls used by our support channels that process personal information or sensitive personal data.
-assist the Controller as much as possible, taking into account the nature of the processing, with appropriate technical and organizational measures to enable it to comply with its obligation to respond to requests to exercise the data subject's rights under Chapter III of the EU General Data Protection Regulation 2016/679;
-assist the Controller in fulfilling the obligations set out in Articles 32 to 36 of the EU General Data Protection Regulation 2016/679, taking into account the nature of the processing and the information available to the Processor;
-At the Controller's option, erase all personal data or, at the end of the provision of services related to the Processing, return the data to the Controller and erase existing copies, unless EU law or the national law of an EU Member State or any other applicable law, including the law of an Australian State or the Commonwealth to which the Processor is subject, requires the retention of personal data;
-Provide the Controller with all information necessary to demonstrate compliance with the obligations set forth in Article 28 (Processor) of the EU General Data Protection Regulation 2016/679 and permit and contribute to audits, including inspections, by the Controller or another auditor designated by the Controller (in each case at the Controller's expense).
